These Terms of Service (“Terms”) govern your access to and use of the WizChips application and related services (collectively, the “Service”) operated by WizLabs Inc. (“WizLabs,” “we,” “us,” or “our”), a company incorporated in the Province of Prince Edward Island, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian to use the Service.

We do not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will promptly delete their account and associated data.

2. Account Registration

To use certain features of the Service, you must create an account by providing a valid email address, password, and a unique username.

You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us promptly of any unauthorized use of your account
• Maintain only one account per person

You are responsible for all activity that occurs under your account.

3. User Content

3.1 Your Study Materials

You may upload study materials to the Service, including images, PDFs, and text (“User Content”). You retain ownership of your User Content.

By uploading User Content, you grant WizLabs a non-exclusive, worldwide, royalty-free license to process, analyze, and transform your User Content for the purpose of generating educational games and providing the Service to you. This license exists solely to enable the Service to function and terminates when you delete your materials or your account.

3.2 Content Processing

Your uploaded study materials are processed using artificial intelligence services to generate educational games. The original text content extracted from your materials is deleted after processing is complete and is not retained by us. Only the generated games, metadata, and structural information derived from your materials are stored.

3.3 Content Restrictions

You agree not to upload content that:

• Infringes on any third party’s intellectual property rights
• Contains illegal, harmful, threatening, abusive, or defamatory material
• Contains malware, viruses, or other harmful code
• Violates any applicable law or regulation

We reserve the right to remove any User Content that violates these Terms.

3.4 Sharing Warranty

When you share a study material with another user, include it in a challenge, or otherwise make it accessible to other users of the Service, you separately represent and warrant that you have the right to share that content for that purpose, including any necessary permissions from rights-holders. Sharing content you do not have the right to distribute is a violation of these Terms.

4. Credits System

The Service uses an in-app credits system to manage usage of processing resources.

• Credits are virtual units used to power study material processing within the Service
• Credits are non-transferable between accounts
• Credits are non-refundable (limited exceptions apply — see our Refund Policy)
• New accounts receive a one-time signup bonus of credits
• Credits may be purchased in packs sold by Stripe, Inc. and its regional affiliates as our Merchant of Record (in supported regions); credits are added to your account upon Stripe’s payment confirmation
• Credits are consumed when study materials are processed into games
• Credits do not expire while your account remains active
• We reserve the right to modify credit amounts, pack pricing, and allocation at any time; changes apply to future purchases only

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers, etc.) to access the Service without our written permission
• Harass, abuse, or harm other users through the Service’s social features
• Create multiple accounts to circumvent restrictions or abuse credit systems
• Impersonate any person or entity
• Choose or use a username that is offensive, obscene, hateful, harassing, deceptive, or that impersonates another person, brand, or WizChips staff. We reserve the right to reject, change, or remove usernames that violate this requirement at any time.
• Reverse engineer, decompile, or disassemble any part of the Service

6. Social Features

The Service includes social features such as following other users, sharing study materials, and participating in challenges.

When using social features:

• You are responsible for your interactions with other users
• Shared materials are copied to recipients’ libraries; the recipient receives their own copy
• Challenge participation is voluntary and time-limited
• You may block other users at any time; blocked users will not be notified
• Materials and challenges shared with you by other users may contain content uploaded by those users. You are responsible for evaluating shared materials before adding them to your library or accepting a challenge — WizLabs does not pre-screen user content
• We reserve the right to remove shared materials, expire challenges, or suspend sharing and challenge privileges for accounts that violate these Terms or that we receive valid complaints about
• We reserve the right to restrict or remove access to social features for users who violate these Terms

7. Intellectual Property

7.1 Our Property

The Service, including its design, interface, features, code, and generated game formats, is owned by WizLabs and protected by intellectual property laws. Nothing in these Terms grants you any right to use the WizChips name, logo, or branding.

7.2 Generated Games

Games generated from your study materials are created for your personal educational use. The underlying game mechanics, templates, and presentation formats remain the property of WizLabs. The educational content within the games is derived from your User Content.

8. Account Deletion

You may delete your account at any time through the Service. Upon account deletion:

• Your study materials, game progress, credit balance, and transaction history will be permanently deleted
• Your profile information, social connections, and shared content will be removed
• Certain anonymized information may be retained solely for abuse prevention purposes (see our Privacy Policy)
• Deletion is permanent and irreversible

9. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or the Service
• Is fraudulent or abusive

Upon termination, your right to use the Service ceases immediately.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WizChips is an educational tool designed to supplement learning. It is not a substitute for formal education, professional instruction, or expert advice. We do not guarantee the accuracy, completeness, or quality of generated educational content.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Generated games will be free of inaccuracies
• The Service will meet your specific learning objectives

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIZLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO WIZLABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island, Canada, without regard to its conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts located in the Province of Prince Edward Island, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on the Service with a new “Last Updated” date.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Copyright Complaints

WizLabs respects intellectual property rights and will respond to clear notices of alleged copyright infringement on the Service. If you believe content on the Service infringes your copyright, please send a written notice to dmca@wizchips.com that includes:

• Your contact information (name, address, telephone number, email)
• A description of the copyrighted work you claim has been infringed
• The URL or location of the allegedly infringing material on the Service
• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf
• Your physical or electronic signature

We may remove or disable access to allegedly infringing material upon receiving a compliant notice. Repeat infringers may have their accounts suspended or terminated.

If you believe your content was removed in error, you may submit a counter-notice to the same address with the information required under applicable copyright law.
